1. Agreement to these Terms

These Terms of Service ("Terms") are a legally binding agreement between you and Good Look Productions LLC ("Good Look Productions," "we," "us," or "our"). They govern your access to and use of goodlookproductions.com, including its pages, portfolio, forms, and other content or functionality that links to these Terms (collectively, the "Website"). By accessing or using the Website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website. You must be at least 18 years old and legally capable of entering a contract to use the Website. If you use the Website for a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. Website scope

The Website provides information about Good Look Productions, our video production capabilities, selected work, and ways to contact us. Website content is provided for general informational and promotional purposes. It is not a binding offer, quote, guarantee of availability, or promise that any particular service, production approach, result, budget, timeline, location, crew member, or deliverable will be available. We may add, change, suspend, or remove Website content or functionality at any time. We do not guarantee that the Website will always be available, uninterrupted, secure, complete, or error-free.

3. Client services require a separate agreement

Inquiries, consultation requests, estimates, proposals, and discussions submitted through or resulting from the Website do not create a client relationship or require either party to proceed with a project. Any video production, photography, editing, consulting, licensing, or related professional service will be governed by a separate written proposal, statement of work, production agreement, license, or other contract accepted by the parties (a "Client Agreement"). A Client Agreement may address scope, fees, deposits, cancellations, timelines, revisions, ownership, licenses, releases, expenses, travel, and other project-specific terms.

If a Client Agreement conflicts with these Terms: The Client Agreement controls for that project. These Terms continue to govern use of the Website.

4. Intellectual property

The Website and its content, including text, graphics, logos, photographs, videos, showreels, audio, designs, page layouts, and other materials, are owned by or licensed to Good Look Productions and are protected by copyright, trademark, and other intellectual property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access and view the Website for your personal use or your organization's internal evaluation of our services. You may not, without our prior written permission: copy, download, reproduce, publish, distribute, sell, license, publicly display, or commercially exploit Website content; remove or alter copyright, trademark, credit, watermark, or other rights notices; use our name, logo, portfolio, footage, still frames, or other materials to imply affiliation, endorsement, authorship, or permission; create derivative works from Website content, except where the law expressly allows it; or use Website content to train, test, develop, or improve an artificial intelligence or machine-learning system.

Any permission we grant must be in writing and may be subject to separate terms. Rights not expressly granted in these Terms are reserved.

5. Portfolio and third-party materials

Our portfolio may include work created for clients, footage featuring individuals, music, marks, products, locations, or other material owned or controlled by third parties. Displaying that work does not grant you a license to use any part of it. Third-party names and marks remain the property of their respective owners. If you believe material on the Website infringes a right you own or control, contact us through the Website and identify the material, the right at issue, your contact information, and the basis for your request. We may ask for additional information before acting.

6. Feedback

If you voluntarily send us an idea, suggestion, or feedback about the Website or our services, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without payment or obligation to you. This does not transfer ownership of project materials submitted under a Client Agreement.

7. Acceptable use

You agree to use the Website only for lawful purposes and in a way that does not harm the Website, us, our clients, or anyone else. You may not: violate any applicable law, regulation, court order, or third-party right; submit false, misleading, fraudulent, defamatory, infringing, threatening, abusive, obscene, or unlawful content; impersonate another person or misrepresent your identity, authority, affiliation, or intentions; attempt to gain unauthorized access to the Website, accounts, servers, systems, or data; introduce malware, malicious code, or other harmful technology; interfere with the Website's operation, security, availability, or performance; use bots, scrapers, crawlers, or other automated means to access, monitor, copy, or extract Website content, except as permitted by applicable law or with our written permission; collect personal information about others through the Website; use the Website to send spam, unsolicited promotions, or unlawful communications; or help another person do any of the above.

We may restrict or block access when we reasonably believe it is necessary to protect the Website, our rights, our clients, other users, or the public.

8. Inquiries and submissions

When you submit information through a contact form or otherwise communicate with us, you represent that the information is accurate, that you have the right to provide it, and that our handling of it for the purpose of responding to your inquiry will not violate another person's rights. Do not submit confidential, proprietary, sensitive, or regulated information through a general Website form unless we have specifically asked you to provide it through that channel. Submission of an inquiry does not make us your representative, agent, fiduciary, or exclusive service provider. Our collection and handling of personal information is described in our Privacy Policy.

9. Third-party websites, platforms, and embedded content

The Website may link to or display content from third-party websites or services, such as video hosts, social networks, scheduling tools, maps, payment providers, or other platforms. We do not control those services and are not responsible for their content, availability, security, privacy practices, or terms. A link or embed does not necessarily mean that we endorse the third party. Your use of a third-party service is governed by that service's own terms and privacy policy. You are responsible for reviewing them before using the service or providing information to it.

10. No warranties

To the fullest extent permitted by law, the Website is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, security, and freedom from harmful code. We do not warrant that Website content is complete, current, or suitable for your particular purpose, or that any portfolio example predicts the outcome of another project. You use the Website at your own risk. Some laws do not allow certain warranty exclusions. In that case, the exclusions apply only to the extent permitted by law, and any non-waivable rights remain in effect.

11. Limitation of liability

To the fullest extent permitted by law, Good Look Productions and its owners, officers, employees, contractors, agents, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business, opportunities, or goodwill, arising from or related to the Website or these Terms, even if advised that such damages may occur. To the fullest extent permitted by law, our total aggregate liability arising from or related to the Website or these Terms will not exceed the greater of (a) the amount you paid us, if any, specifically for access to the Website during the six months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). These limits do not apply to liability that cannot legally be limited or excluded. Liability connected to a Client Agreement is governed by that Client Agreement.

12. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Good Look Productions and its owners, officers, employees, contractors, agents, and affiliates from claims, liabilities, damages, judgments, losses, costs, and reasonable legal fees arising from or related to: your unlawful or unauthorized use of the Website; content or information you submit through the Website; your violation of these Terms; or your violation of another person's rights.

We may control the defense of a matter subject to indemnification, and you agree to cooperate reasonably with that defense. You may not settle a claim in a way that admits fault by or imposes an obligation on us without our prior written consent.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Before filing a lawsuit arising from or related to the Website or these Terms, you and Good Look Productions agree to make a good-faith effort to resolve the dispute informally for at least 30 days after one party sends written notice describing the dispute and the requested resolution. This informal process does not prevent either party from seeking urgent injunctive relief or taking action needed to preserve a legal claim. If the dispute is not resolved informally, the parties consent to the exclusive jurisdiction of the state and federal courts located in North Carolina, unless applicable law requires a different forum.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date identifies the current version. Updated Terms become effective when posted unless a later date is stated. Your continued use of the Website after an update means you accept the revised Terms.

15. General terms

Severability: If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

No waiver: A failure or delay in enforcing a provision is not a waiver of that provision or any other right.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms as part of a merger, reorganization, sale of assets, change of control, or transfer of the Website or our business.

Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and us regarding use of the Website and replace prior or contemporaneous understandings about that use. They do not replace or modify a Client Agreement.

Electronic communications: You agree that electronic communications, notices, and records related to the Website satisfy any legal requirement that they be in writing, to the extent permitted by law.

Headings: Headings are for convenience only and do not change the meaning of these Terms.
